General
Welcome to our site. This website www.minmed.sg, and its associated websites and mobile applications (collectively the “Minmed Sites”), are owned and maintained by Minmed Group Pte Ltd (Minmed).

References made to “Minmed Group Pte Ltd” may include Minmed as a corporate legal entity and/or one or more of the brand divisions, including:
(a) Minmed Health Screeners
(b) Minmed Clinics
(c) Minmed Radiology
(d) Minmed Health Pte Ltd
(e) Dayspring Medical Clinic (Tampines) – affiliated clinic

Please read the following Terms of Use (“Terms of Use”) carefully before using this website (“Website”) or any electronic application (“App”) owned or maintained by Minmed Group Pte Ltd (“Minmed”), including the “Minmed Connect App” (collectively the “Minmed Sites”). By accessing or using this Website or services, you acknowledge that you agree unconditionally to be bound by all the Terms of Use prevailing from time to time. If you do not agree, kindly leave the Site and discontinue use of the Services immediately. Violations of these Terms of Use may result in termination of your account without prior notice.

Modifications of Terms of Use
The Terms of Use are subject to amendment from time to time at the sole discretion of Minmed and such amendment shall take effect immediately upon posting the revised Terms of Use on this Website. You agree to review the Terms of Use periodically to ensure that you are aware of any amendment made. Your continued access or use of this Website shall be regarded as your acceptance of the Terms of Use as amended.

User’s Obligations / Legal Use
You shall not use the Website for any illegal, unlawful purpose or in any other manner inconsistent with the Terms of Use.

You shall not modify, reproduce, distribute, trade, sell, or employ for commercial or other purposes any part of the Minmed Sites and content without obtaining prior written consent from Minmed.

You are prohibited from violating or attempting to violate the security of the Website, including without limitation, the following:

Accessing data or login into a server or account which you are not authorized to access.
Attempting to probe, scan or test the vulnerability of the system or network to breach security or authentication measure without proper authorization.
Attempting to interfere with the service to any User, host or network, via means of submitting a virus to the Website, overloading or spamming.

User Accounts
Account registration for use of the Minmed Sites requires you to create an unique account (“Account”) by entering the requisite “Account Information” comprising your legal name, email address, password, contact information, personal health information, medical history and other information needed. You warrant that the information provided is accurate, current and complete. You must be of legal age to form a binding contract to be eligible for account creation. Each person may only create one account. The Account password may not be shared with anyone, and you are responsible for maintaining the confidentiality of the password and all activities related to your account. You may not access or use anyone else’s account at any time. Minmed reserves the right to take any action deemed necessary to safeguard the security of the Site and your Account at any time without notice.

Intellectual Property
The contents of the Minmed Sites and its materials, programmes, functionalities and specifications have been developed by Minmed and its authorized agents. All data, software, information, text, graphics, images, videos and audios, designs, trade names, logo or marks, and URL, including the look and feel are protected by copyright, trademark, patent, trade secret and other intellectual property or proprietary rights owned by Minmed, which includes its holding company and/or its subsidiaries and/or subsidiaries of its holding company and/or third party service providers. No part or parts may be reproduced, distributed, adapted, modified, altered, stored, published, broadcast, transmitted or displayed in any manner or by any means whether in part or whole, without prior written consent from Minmed. You shall use the services and content in this Website in a manner that will not infringe these rights. Your right to use this Website shall not be taken as granting, by implication or otherwise, the right to use or hyperlink any trademarks, content, service marks or logos appearing in Minmed Sites without the prior written consent of Minmed.

Trademarks
Names, logos and materials featured on Minmed Sites may constitute identities (logos, trade names, service marks, trademarks) and ownership of such with their associated goodwill resides with Minmed. Use of these is not authorized without the prior written consent of Minmed.

Privacy and Personal Data
We believe in protecting your privacy. We are committed to preserving the confidentiality of your personal information and data that you submit through Minmed Sites. These data are collected and processed, for rendering medical services to meet your healthcare needs and they consist of identity data, contact data, account data and medical data.

To safeguard your personal data, all electronic and transmission of personal data are secured with appropriate security technologies.

We will not sell or otherwise provide your personal information to a third party (with exception of third parties in connection with provision, marketing or offering of Minmed’s services), or make any other use of your personal information or data for any purpose which is not incidental to your use of this Website or our services.

There are circumstances that require us to disclose or use the information to assist a bona fide law enforcement agency or any governmental or authorised agency responsible for government or public safety and/or security in the performance of their function as required by law.

We will retain your personal data for the duration required by MOH or any related governing body (whichever is longer). We will preserve the content of any email you send us if we believe we have the legal requirement to do so. Your email content may be monitored by us for trouble-shooting or maintenance purposes or in the event that any form of email abuse is suspected.

You may request for deletion of your account with Minmed Sites or your Facebook connection used for the login, by emailing to [email protected]. However, your personal and health data will be retained, as required by MOH or any related governing body.

We may from time to time, use appropriate mechanisms which enable us to understand traffic patterns and profiles in order to serve you more efficiently. These mechanisms do not identify you personally but it may identify your device. You can set your browser to notify you when you receive a ‘cookie’ and this will provide you with an opportunity to either accept or reject it in every instance.

As a follow-up service, Minmed may share news, information and/or updates about related activities and/or services through mail, email and/or SMS. Please email Minmed at [email protected] to be excluded from this.

Personal data and medical information may be transferred between entities within the Minmed Group to facilitate continuity of care, holistic patient management, and to communication of information and services. (this is known as transfer of information)

Security
No data transmission over the Internet can be guaranteed as totally secure. All personal information which we collect (including your contact details, medical and payment details) is kept confidential to the best of our ability. Whilst we will endeavour to protect your information, we do not warrant that any information which you transmit to us remains entirely secure. Any information which you transmit to us is at your own risk. Nevertheless, upon receipt of your transmission, we will take reasonable steps to preserve the security of such information.

Disclaimers
The information, materials and data contained in or accessed through the Minmed Sites are designed for informational and educational purposes only. The registration portal has been designed for the ease and convenience of users to book their health screening and other related health programme dates. The content is not to be construed as medical advice or services, nor should they be used definitively for diagnostic or treatment purposes. If you feel or know you have a health and/or medical condition, please consult a medical or healthcare professional.

You acknowledge and agree that Minmed Sites do not provide medical diagnosis, advice, instruction nor treatment, and further that none of the site contents warrant that any particular treatment, advice, medication is appropriate or effective for you. You are advised to consult a doctor for proper medical advice and management.

Minmed or its third party proprietors and/or partners do not warrant or represent whether explicitly or otherwise, as to the accuracy, currency or entirety of any data, information, content referenced in the Minmed Sites. Minmed is unable to assume any responsibility for risks associated with your use of the Minmed Sites. References to products, medical opinions, statements, services and/or treatment do not imply recommendation or endorsement by Minmed or any third party partner or proprietor associated with it.

The Minmed Sites may be updated and amended from time to time. Whilst we endeavor to ensure accuracy of information contained within, we do not guarantee that all information and prices listed will be complete, current and accurate.

With reference to the Minmed Sites, expressly the Minmed Connect App, its services and teleconsultation, you acknowledge and agree that this electronic platform connects patients with Healthcare Professionals including medical doctors, and that the Healthcare Professionals using the Sites have complete authority and are solely responsible for the provision of all medical diagnosis, advice, treatment plans, procedures and healthcare services. Minmed does not warrant that the Healthcare Professionals hold valid licences to practise medicine or qualifications to provide advice.

Limitation of Liability
Minmed does not accept responsibility for any expense, loss or damages however caused, including through negligence, which you may directly or otherwise, suffer in connection with your use of or access to, or inability to access or use this Website or any linked Website or App, which may be provided for convenience only and are not owned by Minmed. Any Linked Website or App is used and accessed solely at your own risk. Our links with Linked Websites should not be construed as an endorsement, approval or recommendation by us of the owners or operators of such Websites, including any information, graphics, materials associated with them. Minmed makes no representations or warranties with respect to the content, ownership or legality of such Linked Websites.

Minmed shall not be liable, under any circumstance, for any failure of performance, system service or connection failure, any omission, interruption, breach of security, computer virus, malicious code, corrupted delay in operation or transmission errors and/or unavailability of access connection in relation to or arising out of your use of or access to Minmed Sites.

Indemnity
By accessing or using Minmed Sites, you agree to indemnify, hold harmless and defend Minmed, its subsidiaries, officers, directors, parents, employees, agents, affiliates, vendors or licensors, at all times from and against any claims, actions or demands, damages, losses, expenses and costs including, without limitation, reasonable legal and accounting fees, alleging or resulting from your use of and access to Minmed Sites or Services, and/or use of the online services using your user id and/or login password or OTP, or purchase or delivery of products, or your breach of the Terms of Use.

Claims against Minmed
To the extent allowed by applicable law, you agree that you will bring any claim or cause of action arising from or relating to your access or use of the Websites and/or Apps within 60 days from the date on which such claim or cause of action arose. Both parties agree to attempt in good faith to resolve such disputes through amicable negotiations, commenced by way of written notice. In event that amicable resolution is not achievable after 60 days of written notice, the dispute may be submitted by either party for resolution by the courts of Singapore which shall have exclusive jurisdiction.

Termination
You may deactivate your account at any time by sending an email to [email protected]. Minmed reserves the right to suspend or terminate your use of its sites, your account and/or registration for any reason and at any time. Subject to legal requirements, Minmed reserves the right to maintain, destroy or delete all materials posted and communications according to our internal policies. Subsequent to such termination, Minmed and it’s associated partners will have no further obligation to provide the services or products, except to the extent that we are obligated to grant access to your personal medical records for continuity of care. Minmed shall not be liable for any damages, losses or expenses however caused by and/or arising out of termination of the Website and/or its Services.

Relationship of Parties/No doctor-patient relationship
Utilisation of Minmed Sites does not establish a doctor-patient relationship between the user and Minmed or the Health Professional. Minmed does not assume a duty of care to the user.

Telehealth and Teleconsult Services (including the Minmed Connect App)
Minmed Telehealth, Teleconsult and Housecall Services are available in Singapore only.

Healthcare Professionals who provide healthcare services through Minmed Connect App are independent professionals responsible individually for the services provided to you, in compliance with the code of ethics, in accordance with the requirements applicable to the profession and professional licence. Minmed does not influence or interfere with the practice of medicine by these healthcare providers, nor does Minmed assume a duty of care to you. Minmed, it’s affiliates, third parties who promote or connect you with the Telehealth/Teleconsult services shall not be held liable for any professional advice given, including but not limited to misdiagnosis or acts of omissions. Information obtained and dependence on such from the Sites or through healthcare providers is solely at your own risk.

Healthcare Providers
Healthcare providers (medical doctors) utilising the Minmed Teleconsult platform assume full responsibility to ensure that they maintain practice proficiency, are fully registered with and possess a valid practising certificate issued by the Singapore Medical Council, and are have appropriate and sufficient medical malpractice insurance when using the teleconsult portal.

Informed Consent
Teleconsultation refers to the healthcare professional connecting in a remote manner with patients/ caregivers for the purpose of rendering clinical care, where the provider and the patient/caregiver are not in the same physical location. It involves obtaining a medical history, limited examination, diagnosis and treatment conducted with the aid of video and audio technologies.

Teleconsultation does not substitute the in-person medical doctor-patient relationship, and you agree to comply with the advisories pertaining to the use of teleconsultation, and seek face-to-face consultation with a healthcare professional where necessary. Categorically, Minmed prohibits the use of teleconsultation in rendering emergency care, in which you should consult a doctor in person or contact emergency services immediately. In addition, you agree to comply with instructions to consult a doctor in person, seek emergency treatment, consult a specialist, or proceed with seeking further examination/investigations/treatment deemed appropriate, and indemnify Minmed wholly for any outcome resulting from a failure to comply.

You accept that Teleconsultation is not appropriate for some conditions. These include, but are not limited to:
Emergency conditions
Non-minor illness/conditions
Chronic disease not previously diagnosed by a doctor during a face-to-face consultation
Conditions in which the doctor assesses a physical consultation to be necessary for better diagnosis
Conditions necessitating further investigations

Minmed and the healthcare professionals utilizing the Sites reserve the right to abort the teleconsultation with advice to consult a doctor in person at any time.

You will be offered prescription medication with delivery services as deemed appropriate by the consulting healthcare professional. You are not obligated to purchase any prescribed medication. Minmed shall not be responsible for ensuring that you receive the correct medications as prescribed, or that you receive the medications, or that the instructions of use of the prescribed medications is appropriate. You agree to comply with the dosage regime prescribed, and report promptly any side effects or adverse drug reactions/allergies to a medical doctor.

Minmed does not warrant that the Minmed Sites, in particular the Minmed Connect App and teleconsultation, is the appropriate channel for your specific healthcare issue, or addresses your specific needs.

There are inherent risks with remote medical consultation and prescription through electronic audio-video platforms including but not limited to:
Inaccurate or insufficient information rendered due to technical limitations, for example, poor sound or lightning, unstable internet connection, poor image resolution, colour inconsistencies, resulting in inaccurate assessment and diagnosis or need for face-to-face consultations
Inadequate medical information such as medical drug allergies and history resulting in allergic drug reactions, adverse drug interactions, misdiagnosis and other errors
Inaccurate information conveyed due to reliance on the individual for self declaration of symptoms and history, self-measurement of parameters such as body weight, temperature, blood pressure
Failure of data transmission, whether software or hardware related, that may delay or impede timely evaluation, diagnosis and treatment
Breach of patient confidentiality or loss of personal data resulting from failure of security protocols

Minmed shall not be held liable for the above adverse incidents. You agree to indemnify Minmed against any claims related to the above.

MOH Advisory
When health screening results are available, you are advised in accordance with the Ministry of Health (MOH) advisory issued August 2011, to be attended to by a medical practitioner. You are advised to consult a Minmed doctor or any doctor of your choice. Any follow-up where necessary, is to be arranged by yourself, at your own cost.

Payment
By using our services, you undertake to be personally liable for and furnish payment for all fees and charges incurred, according to the fee schedule and terms in effect at the time they are incurred. You agree to furnish Minmed with a valid debit or credit card or online payment service account details (eg: PayPal) and associated payment information, and authorise Minmed to bill and charge the debit or credit card for such payment at the time they become due and payable. Should full payment not be received or verified, Mimed reserves the right not to fulfil requested services. You are solely responsible for verifying the terms of reimbursement with your employer, insurer or agent. Minmed offers no guarantee of such reimbursement.

Minmed reserves the right to impose surcharges for delivery of medicines/products/services to remote areas such as Sentosa, and to refuse delivery of medicines/products/services to certain remote locations.

You hereby consent to allow disclosure of the debit or credit card information by Minmed to the relevant payment processor, and such information shared for the purpose of collecting the said fees and charges.

Refund Policy
Unless otherwise agreed by Minmed at its sole discretion, no refunds will be given for any services or products purchased.

Access Rights
Minmed permits access to Minmed Sites in a non-transferable, limited manner. The use of the Sites, its services, and purchase of products shall be solely for your non-commercial personal use, as permitted by the Terms of Use. Minmed reserves the right to terminate, suspend or deny access to the Sites, or terminate delivery of goods and services to you without notice or reason.

Access rights to the personal health portal and therefore, personal medical data and individual health screening reports residing in the Minmed Sites, shall be valid for two (2) years following the date of the last screening episode. In order to keep current and relevant, these rights shall cease to be extended to you should there be no fresh health screening after two (2) years from the date of the last screening.
Minmed reserves the right, at its sole discretion, to extend further access rights to you after the expiry date of the period in question.

You agree that you shall not:
Make recordings of any kind of your interactions with health professionals through the Site
Engage in combative or abusive language in your communication with Health Professionals
Purchase or demand delivery of services or products outside Singapore
Impersonate any persons or misrepresent your relationship with any persons/entities
Utilise the Sites in an unlawful or criminal manner

Governing Law and Jurisdiction
By accessing and/or using this Website and its Services, you agree that its Terms of Use shall be governed by and subject to the law of the Republic of Singapore, including without limitation the Electronic Transactions Act, Chapter 88.

Severability
Should any part of these Terms of Use be held invalid or unenforceable, the particular term(s) shall be severed to the extent that it is unvalid or unenforceable, leaving the remainder of the Terms of Use or part thereof enforceable.

Force Majeure
In the context of this agreement, a “Force Majeure Event” is defined as an occurrence or circumstance beyond reasonable control of a party which results in the party concerned being unable to fulfil or perform an obligation in a timely manner. Such includes civil unrest, war, labour disputes, natural disasters, fires and explosions, criminal or terrorist acts, epidemic or quarantine restrictions, legal or government regulations, failure of public transport, telecommunications or utilities.

Failure of service and fulfilment of obligations due to a Force Majeure event shall not render any party liable (other than payment obligations) under this agreement, provided that whenever possible, as soon as the Force Majeure event ceases, the party shall resume the obligations.
